1. The agreement
These Terms of Service ("Terms") form a binding contract between you or the entity you represent ("Customer," "you") and SignalGate("we," "us"). They govern your access to and use of the SignalGate service (the "Service").
By creating an account, clicking "Get started," or using the Service, you agree to these Terms, the Acceptable Use Policy, the Privacy Policy, and, if you process personal data of natural persons through the Service, the Data Processing Addendum. If you are accepting these Terms on behalf of an entity, you represent that you have authority to bind that entity.
If you do not agree, do not use the Service.
2. The service
SignalGate is a real-time fingerprint-based antifraud API. The Service includes:
- A browser SDK (the "SDK") that collects non-identifying device signals and submits them to our verdict endpoint.
- A REST API (the "API") that returns a verdict (
allow,dry_run_block, orblock) based on those signals plus rules you configure. - A web dashboard for managing API keys, public keys, flows, usage metrics and event logs.
We may add, modify, or remove features. Material reductions in functionality affecting paid plans will be announced at least 30 days in advance.
3. Your account
You are responsible for activity under your account, for maintaining the confidentiality of credentials and API keys, and for promptly notifying us at [email protected] of any unauthorised access.
You must be at least 18 years old (or the age of legal majority in your jurisdiction) and not subject to any applicable export-control or sanctions list.
4. Fees & billing
Pricing is published at signalgate.ai/pricing. Fees are quoted exclusive of taxes; you are responsible for all applicable taxes other than taxes on our income.
Paid plans are billed in advance on a monthly or annual cycle as selected at sign-up. Usage-based fees are billed in arrears. A third-party payment processor handles billing; their terms apply to the payment transaction.
If we cannot collect payment within 14 days of the invoice due date, we may suspend the Service until payment is received.
5. Acceptable use
Your use of the Service must comply with our Acceptable Use Policy, which is incorporated into these Terms by reference. In particular, you may not use the Service to surveil end-users without lawful basis, to discriminate against individuals or groups in violation of applicable law, to circumvent technical security measures, or to reverse-engineer the Service.
We may suspend or terminate access to address violations, security threats, or to comply with law.
6. Your data & ours
Customer Data means data you or your end-users submit to the Service (including fingerprint payloads, rule definitions, and flow configurations). You retain all rights in Customer Data. You grant us a worldwide, non-exclusive, royalty-free licence to process Customer Data solely to provide, secure and improve the Service consistent with the DPA.
Service Data means data we generate or derive about the operation of the Service (e.g. aggregated throughput metrics, anonymised model-training inputs). We own Service Data and may use it freely, provided it does not re-identify your end-users.
7. Intellectual property
SignalGate, the Service, and all related software, models, documentation and trademarks are owned by us or our licensors. Subject to these Terms, we grant you a non-exclusive, non-transferable, revocable licence to access and use the Service during the term.
You may not copy, modify, distribute, sell or lease the Service or its underlying models, attempt to extract their source, or use them to build a competing service.
8. Warranties & disclaimers
We will provide the Service with reasonable skill and care. Beyond that warranty, and to the maximum extent permitted by law, the Service is provided "as is" without further warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.
SignalGate's verdicts are probabilistic and provided on a best-effort basis with no warranty of accuracy, completeness, or fitness for any purpose. You are solely responsible for every decision you make based on the Service — including allowing, blocking, challenging, or otherwise acting on any user or transaction — and you assume all risk and liability for the outcomes of those decisions. To the maximum extent permitted by law, SignalGate carries no legal responsibility or liability for any loss, damage, or harm arising from your use of, or reliance on, the Service or its verdicts.
The Service does not constitute professional advice (security, legal, financial or otherwise).
9. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, or data, arising out of or related to these Terms.
Each party's aggregate liability arising out of or related to these Terms will not exceed the greater of (a) the fees you paid to us for the Service in the 12 months preceding the event giving rise to the claim, or (b) one hundred US dollars (US$100).
These limitations do not apply to (i) breach of confidentiality obligations, (ii) indemnification obligations, (iii) infringement of the other party's intellectual-property rights, or (iv) liability that cannot be excluded by law (such as for fraud, gross negligence, or personal injury).
10. Indemnification
You will indemnify, defend and hold harmless SignalGate and its affiliates from third-party claims arising out of (a) your breach of these Terms or applicable law, (b) your Customer Data, or (c) your misuse of the Service.
We will indemnify, defend and hold you harmless from third-party claims that the Service, used in accordance with these Terms, infringes a third party's intellectual property in the jurisdictions where we offer the Service.
11. Term & termination
These Terms remain in effect while you have an account or use the Service. Either party may terminate for convenience on 30 days' written notice. Either party may terminate immediately for material breach if the breach is not cured within 30 days of notice.
Upon termination: your access ends, we will delete Customer Data within 30 days (subject to the DPA), fees accrued through the termination date remain payable, and clauses that by their nature should survive (e.g. §6, §7, §9, §10, §13) survive.
12. Changes to these terms
We may update these Terms. Material changes will be notified to you by email and via a dashboard banner at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance.
13. Governing law & disputes
These Terms are governed by the laws of the jurisdiction in which SignalGate is established, without regard to its conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the competent courts of that place for any dispute arising out of or relating to these Terms, except that either party may seek injunctive relief in any competent court to protect its intellectual property or confidentiality interests.
The UN Convention on Contracts for the International Sale of Goods does not apply.
14. General terms
- Entire agreement — these Terms, with the policies referenced, constitute the entire agreement and supersede prior agreements on the subject.
- Assignment— neither party may assign without the other's consent, except to an affiliate or in connection with a merger, acquisition, or sale of substantially all assets.
- Severability — if any provision is held unenforceable, the remaining provisions remain in effect.
- No waiver — failure to enforce a provision is not a waiver.
- Force majeure — neither party is liable for delay caused by events beyond its reasonable control.
